1. Acceptance of Terms
These Terms of Service govern your access to and use of our platform, website, tools, software, AI generation features, image editing features, SEO tools, Pinterest content tools, POD workflow tools, subscription plans, Spark credit system, and related services. By creating an account, purchasing a subscription, buying Sparks, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
We provide web-based software tools for online sellers, ecommerce creators, Etsy sellers, POD sellers, small businesses, and creative teams. Our platform may include AI-powered listing image generation, image editing and regeneration, Etsy SEO content generation, Pinterest content tools, product mockup workflows, and related ecommerce content tools. We may add, remove, update, limit, suspend, or modify features at any time.
3. Account Registration and Security
You may need to create an account to use certain features. You agree to provide accurate, current, and complete information when creating an account or making a purchase. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. If you believe your account has been accessed without permission, you should contact us immediately. You may not use another person's account without authorization. For shared account usage, including Studio plan usage, all activity under the account remains the responsibility of the account owner. All eligible usage draws from the account's shared Spark balance.
4. Sparks and Usage Credits
"Sparks" are digital usage credits used inside our platform for eligible tools and features. Sparks may be used for actions such as AI image generation, image edits, image regeneration, SEO generation, Pinterest content creation, POD workflow tools, and other eligible features. The number of Sparks required for each action may vary by tool, quality level, generation type, or feature. Sparks are not money, stored value, gift cards, or cash equivalents. Sparks have no cash value, are not transferable, and may not be sold, exchanged, withdrawn, transferred between unrelated accounts, or redeemed for cash. We may deduct Sparks when a generation, edit, or eligible tool action is submitted. If a technical failure prevents completion of a requested action, we may automatically restore Sparks or manually review the issue at our discretion. We may update Spark costs, plan allowances, usage rules, or eligible tools in the future.
5. Subscription Plans
Paid subscription plans renew monthly until canceled. By purchasing a subscription, you authorize us and our payment processor to charge your selected payment method on a recurring basis. Monthly Sparks are credited after successful payment. If payment fails, we may pause Spark delivery, restrict paid features, downgrade your account, or suspend access until payment is resolved. You may cancel your subscription through your account settings, billing portal, or another method we provide. Cancellation stops future renewal charges but does not refund the current billing period. Unless otherwise stated, you may continue using paid features until the end of the current billing period. We may change plan names, pricing, Spark amounts, features, or billing terms. If we make material changes to an active paid plan, we will provide notice when required.
6. One-Time Spark Purchases
One-time Spark packs are charged immediately and added to your account after successful payment. Spark packs are final once purchased. Unused Sparks have no cash value and are not refundable except where required by law.
7. Refund Policy
All subscription payments, Spark purchases, top-ups, and other digital purchases are final and non-refundable except where required by law. This includes, but is not limited to: - unused Sparks - unused subscription time - accidental purchases - dissatisfaction with AI output quality - unused account access - cancellations after renewal - failure to use the Service before the billing period ends - outputs that require editing, regeneration, or manual review AI outputs can vary and may require review, editing, reruns, or further adjustment by the user. A result that is not commercially usable, not aesthetically preferred, not suitable for a marketplace, or not aligned with user expectations does not automatically qualify for a refund. Chargebacks, payment disputes, suspected fraud, or abusive billing behavior may result in account suspension, Spark balance review, or termination.
8. User Content and Uploads
You may upload images, prompts, product information, text, designs, logos, artwork, trademarks, brand names, fonts, mockups, and other materials to the Service. You represent and warrant that you own or have all necessary rights, licenses, permissions, and consents to upload, process, edit, generate from, and commercially use any content you provide to the Service. You are solely responsible for your uploaded content and your final use of any output. You may not upload or use content that infringes copyrights, trademarks, publicity rights, privacy rights, trade secrets, contractual rights, or other rights of any person or entity.
9. AI Outputs
The Service uses AI systems and third-party providers to generate, edit, or transform content. AI outputs may be inaccurate, incomplete, distorted, offensive, low quality, legally risky, non-compliant with marketplace rules, or unsuitable for commercial use. You are responsible for reviewing all outputs before publishing, selling, uploading to marketplaces, using in advertising, or relying on them commercially. We do not guarantee that any AI output will be unique, copyrightable, trademark-safe, marketplace-compliant, commercially usable, or free from third-party claims. You understand that similar or identical outputs may be generated for other users or by other tools.
10. Marketplace and Business Results Disclaimer
The Service may help create listing images, product content, SEO text, Pinterest content, and ecommerce assets. However, we do not guarantee: - Etsy ranking - Etsy search placement - SEO performance - traffic - clicks - conversion rate - sales - marketplace approval - ad performance - Pinterest performance - POD platform approval - compliance with Etsy, Pinterest, POD platform, or marketplace policies You are responsible for reviewing and following all marketplace, advertising, intellectual property, tax, and consumer protection rules that apply to your business.
11. Prohibited Uses
You may not use the Service to create, upload, generate, edit, distribute, or promote content that is illegal, harmful, abusive, deceptive, infringing, sexually exploitative, hateful, violent, fraudulent, or otherwise prohibited by these Terms or our payment processor requirements. You may not use the Service for: - infringing copyrighted or trademarked content - counterfeit goods - deceptive marketplace listings - impersonation or false affiliation - malware, phishing, spam, or fraud - regulated goods or services where prohibited - adult sexual content or sexually exploitative content - harassment, hate, threats, or violent content - illegal products, services, or activities - misleading medical, legal, financial, or professional claims - attempts to bypass rate limits, billing systems, Spark deductions, usage restrictions, or platform security - scraping, reverse engineering, reselling, or exploiting the Service without authorization We may suspend or terminate accounts that violate these rules.
12. Payment Processing
Payments are handled by Stripe or another third-party payment processor. We do not store full credit card numbers or full payment card details. By purchasing a subscription or Spark pack, you agree to the applicable payment processor's terms and authorize charges for the selected product or plan. You are responsible for providing accurate billing information and keeping your payment method current.
13. Taxes
Prices may not include applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or government charges associated with your purchase, except for taxes based on our income. Where required, our payment processor may calculate, collect, or remit applicable taxes.
14. Account Suspension and Termination
We may suspend, restrict, or terminate your account if you violate these Terms, misuse the Service, create legal risk, initiate abusive disputes, fail to pay, interfere with the platform, or use the Service in a prohibited way. If your account is terminated or deleted, unused Sparks may be forfeited and will not be refunded except where required by law. You may stop using the Service at any time.
15. Service Availability
We try to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, outages, third-party provider issues, API failures, rate limits, security incidents, or other reasons. We are not liable for losses caused by downtime, failed generations, delayed outputs, data loss, marketplace delays, third-party service interruptions, or unavailable features.
16. Third-Party Services
The Service may rely on third-party providers, including payment processors, hosting providers, database providers, AI model providers, analytics tools, storage providers, and email providers. We are not responsible for third-party service outages, policy changes, pricing changes, delays, errors, or interruptions.
17. Intellectual Property
The Service, including its software, interface, design, branding, workflows, credit system, and platform features, is owned by Nexino Labs LLC or its licensors. You may not copy, reverse engineer, resell, exploit, reproduce, modify, or create competing services from the Service except where allowed by law. Subject to these Terms, you retain ownership of content you upload. We may process your uploaded content and generated outputs as necessary to provide, maintain, secure, troubleshoot, and improve the Service.
18. Feedback
If you provide suggestions, ideas, bug reports, or feedback, you grant us the right to use that feedback without restriction, attribution, or compensation.
19. Disclaimers
The Service is provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and uninterrupted operation. We do not guarantee that the Service will meet your expectations, produce specific results, generate usable outputs, improve your business, or be error-free.
20. Limitation of Liability
To the maximum extent permitted by law, Nexino Labs LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, marketplace penalties, advertising losses, reputational harm, or loss of goodwill. Our total liability for any claim related to the Service will not exceed the amount you paid to us in the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless Nexino Labs LLC and its owners, officers, employees, contractors, affiliates, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from: - your use of the Service - your uploaded content - your prompts - your outputs - your commercial use of outputs - your violation of these Terms - your violation of any law or third-party rights - your marketplace listings, products, advertising, or business activities
22. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted in the Service or on our website. The updated Terms will become effective when posted unless stated otherwise. Your continued use of the Service after updates means you accept the revised Terms.
23. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
